1. Who we are
Studio Nivo is operated by Multi Global Trade Ltd., UIC 208825259, registered at Razsadnika Housing Estate, Block 87, 9th Floor, Krasna Polyana District, Sofia 1330, Bulgaria ("Studio Nivo", "we", "us"). You can reach us at hello@studionivo.net or +359 89 564 7976.
Our service is intended for businesses, freelancers and organisations. If you subscribe as a consumer, you keep all rights that mandatory consumer law gives you.
2. The service
We design, build, host and maintain a custom website for you ("the Website") for a recurring subscription fee ("the Service"). The Service includes the features listed in your quote, hosting, SSL, domain connection, basic SEO setup, security updates, maintenance and support.
Development usually takes up to 7 days from your first payment and from the moment we receive the content we need from you (texts, images, logo, access details). Delays in receiving content extend this time.
3. Prices and bundle discounts
Your monthly price is calculated from our public price list and confirmed in your personal quote. If you choose two or more paid extras, a bundle discount on those extras is applied automatically.
Your price stays the same for as long as your subscription is active and the scope of your project doesn't change. If you ask for new features, we will tell you the new price before we add them.
There is no setup fee. Prices are in euros. [VAT: state whether prices include VAT.]
4. Billing and payment
You can pay daily, monthly or yearly by card. Payments are processed securely by Stripe; we never see or store your full card details.
Your subscription starts with your first payment and renews automatically at the end of each billing period until you cancel.
With daily billing, the first 30 days are paid upfront with your first payment, and daily payments start after that. Yearly billing is paid in advance for 12 months.
5. Failed payments and suspension
If a payment fails, we may pause (suspend) your Website immediately until the payment is successful. While suspended, the Website is not publicly accessible.
Stripe will retry the payment automatically and you can update your card at any time in your account. As soon as the outstanding amount is paid, we restore the Website, usually within 24 hours.
If a payment remains unpaid for 14 days after the Website was suspended, the subscription ends and the rules in "After your subscription ends" apply.
6. Cancellation
You can cancel at any time from your account or by emailing us. Cancellation takes effect at the end of the billing period you have already paid for; the Website stays online until then.
Payments already made are not refunded, including the upfront period for daily billing and the remaining months of a yearly plan, except where the law requires otherwise.
We may end the Service with 30 days' notice, or immediately if you seriously breach these terms (for example, illegal content or repeated non-payment).
7. After your subscription ends
When your subscription ends (after cancellation or 14 days of unpaid suspension), we take the Website offline and keep it stored for 14 days. If you reactivate within that time, we restore everything as it was.
After those 14 days we may delete the Website and its content, and we may reuse the design, layout and code of the Website ("the Design") for other clients, with completely different text, images and branding tailored to them.
We will never reuse your own content: your texts, photos, logo, trademarks, customer data or domain name. These remain yours, and on request before deletion we will send you a copy of your text and image content.
8. Ownership and licence
During an active subscription you receive a licence to use the Design and the Website for your business. The Design, code and underlying templates remain the property of Studio Nivo.
Your content (texts, images, logo, trademarks and data you provide) remains your property. You grant us permission to use it only to build, host and maintain your Website.
Buy-out: at any time during an active subscription you may buy the Website outright for a one-off fee equal to 12× your current monthly price. After payment, the Website (design and code, as delivered to you) becomes yours to host wherever you like, and your subscription ends.
9. Domains
Your domain name is registered in your name, or transferred to you on request. If we register it on your behalf, the registration cost is [included / charged at cost]. We will help you point your domain elsewhere if you leave.
10. Changes and support
Up to 2 hours of change requests per month are included (fair use): updated text and images, new sections, small adjustments. Unused hours don't roll over.
Larger additions (new features, a shop, new languages) are added to your subscription at the price-list rate (bundle discounts included), after you approve the new price.
11. Your responsibilities
You confirm that you have the rights to all content you give us and that your Website and business comply with the law. You must not use the Website for illegal, harmful or misleading content.
You are responsible for the accuracy of your content and for legal texts that apply to your own business (for example your own privacy policy or shop terms), although we are happy to help.
12. Availability and liability
We aim for high availability but cannot guarantee the Website will always be online without interruption (for example during maintenance or outages of our hosting providers).
To the extent permitted by law, our total liability to you for any claim is limited to the fees you paid us in the 3 months before the claim. We are not liable for indirect losses such as lost profits or lost data. Nothing in these terms limits liability that cannot be limited by law.
13. Changes to these terms
We may update these terms. We will tell you about important changes by email at least 30 days before they apply. If you don't agree, you can cancel before the changes take effect.
14. Law and disputes
These terms are governed by the laws of the Republic of Bulgaria. Disputes will be handled by the competent courts in [city], Bulgaria, without affecting any mandatory rights you have as a consumer.
